Talos Agent - End User License Agreement (EULA)

1. LICENSE GRANT & PERMITTED USE

1.1 Desktop Software License

Subject to your continuous compliance with this EULA and payment of any applicable license or subscription fees, Talos grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to install and execute the compiled, machine-readable binary form of the Software (the "Talos Agent") on supported operating systems (such as Windows, macOS, or Linux) strictly for your internal business operations and in conjunction with your authorized account on the Talos Cloud platform.

1.2 Enterprise & Server Virtualization

Licensee may install the Software on physical host endpoints, virtual machines, cloud instances, or terminal server environments owned or leased by Licensee, provided that the total number of concurrently executing Agent processes does not exceed the license limits specified in Licensee’s current Order Form or subscription tier.

2. SYSTEM PRIVILEGES & EXPRESS AUTHORIZATION

2.1 Scope of Local Access Rights

Licensee acknowledges that the Software is a native desktop automation agent designed to execute high-privilege operations. To automate local user actions and run workflow scripts, the Software requires operating system permissions to:

  1. UI Automation & Window Control: Interact with active application windows, query desktop accessibility hierarchies, inspect UI control patterns, and simulate mouse clicks, drags, and keystrokes.
  2. System Command & Script Execution: Sprout subprocesses, execute command-line instructions (e.g., PowerShell, Bash, batch scripts), and run binary utilities configured by the user.
  3. Local File System Access: Create, read, modify, and delete local files, configuration directories, database connections, and cached objects.
  4. Network Transmission: Communicate with the Talos Cloud platform, register system metrics (IP address, hostname, CPU/RAM usage, OS version), upload execution logs, and query available automated jobs.

2.2 Express Authorization

:::warning High-Privilege Notice BY INSTALLING THE SOFTWARE, LICENSEE EXPLICITLY AUTHORIZES THE TALOS AGENT TO EXERCISE THE SYSTEM-LEVEL PRIVILEGES SPECIFIED ABOVE. LICENSEE IS SOLELY RESPONSIBLE FOR VERIFYING THAT THE HOST ENDPOINT IS ADEQUATELY SECURED AND THAT ONLY TRUSTED USERS CAN DESIGN AND TRIGGER AUTOMATIONS VIA THE PLATFORM. :::

3. PROHIBITIONS & LICENSE RESTRICTIONS

Licensee shall not, and shall not permit any third party to:

  1. Reverse Engineer: Decompile, disassemble, decrypt, extract, or reverse engineer the Software, or otherwise attempt to discover its source code, underlying algorithms, or proprietary communication protocols, except strictly to the extent that such a restriction is prohibited by applicable local law.
  2. Tamper with Security: Bypass, modify, or disable any security-related features, integrity checks, digital signatures, licensing verification checks, or telemetry hooks inside the Software.
  3. Redistribute or Bundle: Sell, rent, lease, sublicense, distribute, or bundle the Software within third-party software products, or make the Software available as a stand-alone service bureau or outsourcing facility.
  4. Create Harmful Scripts: Use the Software’s local execution interface to run malicious, self-replicating, or harmful code, or to target networks, web domains, or Third-Party Platforms in violation of their technical terms.

4. AUTOMATIC UPDATES & TELEMETRY

4.1 Automatic Upgrades

The Software is equipped with an automated self-update mechanism designed to deliver critical security patches, library updates, API compatibility fixes, and performance enhancements. By installing the Software, Licensee grants Talos express consent to:

  • Automatically check for Software updates when connected to the internet.
  • Silently download and install updates on the host endpoint without requiring additional user intervention.
  • Restart local Agent processes to apply critical patches, provided that such restarts are scheduled to avoid disrupting active business-critical runs where technically feasible.

4.2 Telemetry & Execution Logs

To facilitate cloud-based management, reporting, and debugging, the Software automatically transmits execution telemetry to the Talos Cloud. This telemetry includes:

  • Job start and end timestamps, execution success/failure status, and exception traces.
  • System utilization metrics (CPU, RAM, active handles) during automation runs.
  • Software version, license keys, and hostname details.

All telemetry and logging data are handled strictly in accordance with the Talos Privacy Policy.

5. OWNERSHIP & INTELLECTUAL PROPERTY

The Software is licensed, not sold. Talos and its licensors retain all right, title, and interest, including all patent, copyright, trademark, trade secret, and other intellectual property rights, in and to the Software, including any patches, modifications, updates, and custom configurations provided by Talos. Licensee acquires no ownership rights in the Software under this EULA.

6. TERMINATION

6.1 Termination by Licensee

Licensee may terminate this EULA at any time by uninstalling and permanently deleting the Software from all host endpoints, virtual machines, and backup archives in Licensee's possession.

6.2 Termination by Talos

Talos may terminate this EULA immediately and without notice if Licensee fails to comply with any material term or condition herein. Upon termination for any reason, Licensee must cease all use of the Software and immediately destroy and purge all copies of the Software in its possession.

7. DISCLAIMER OF WARRANTY & LIMITATION OF LIABILITY

7.1 "As-Is" Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALOS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TALOS DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, SAFELY, OR ERROR-FREE, OR THAT IT WILL ALWAYS MATCH THE CONSTANTLY CHANGING USER INTERFACES OF THIRD-PARTY PLATFORMS BEING AUTOMATED.

7.2 System Instability Disclaimer

TALOS SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSS OF DATA, DATA CORRUPTION, OPERATING SYSTEM INSTABILITY, HOST HARDWARE DAMAGED, SECURITY COMPROMISES, OR ACCIDENTAL DISCLOSURES OF SECRETS OCCURRING ON LICENSEE'S ENDPOINTS DUE TO WORKFLOW ACTIONS OR HIGH-PRIVILEGE AGENT EXECUTIONS CONFIGURED BY LICENSEE.

8. GENERAL TERMS

8.1 Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.2 Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, USA, excluding its conflicts of law rules. Any dispute arising from this EULA shall be resolved through binding arbitration in Wilmington, Delaware, in accordance with the Terms of Service.
